OpenLedger Airdrop Terms

  1. Acceptance of Airdrop Terms

These Airdrop Terms and Conditions (“Airdrop Terms”) govern your participation in the distribution of $OPEN tokens (“Tokens”) made available by OpenLedger Foundation, a foundation company incorporated under the laws of the Cayman Islands (“OpenLedger,” “we,” or “us”). These Airdrop Terms supplement and incorporate by reference our Terms of Service (the “General Terms”). Any capitalized term not defined herein shall have the meaning assigned in the General Terms.

By:

  • clicking “I Accept”;
  • connecting a blockchain wallet to the Platform;
  • completing eligibility criteria or participating in Airdrop activities; or
  • receiving or claiming any Tokens under this program,

you represent and warrant that you have read, understood, and agreed to be legally bound by these Airdrop Terms. If you do not meet the eligibility requirements, or do not accept these Terms in full, you are not permitted to participate in the Airdrop or receive any Tokens.

  1. Legal Nature and Discretion

Participation in the Airdrop does not create any contractual, investment, partnership, fiduciary, or employment relationship between you and OpenLedger. All airdrops are made on a discretionary, voluntary, and promotional basis, and OpenLedger reserves the right to modify, suspend, disqualify, claw back, or cancel the Airdrop (in whole or in part) at any time, for any reason, without prior notice.

  1. Assumption of Risk and Limitation of Liability

You expressly acknowledge and accept the inherent risks associated with digital assets, decentralized protocols, and smart contract-based distribution mechanisms, including but not limited to:

  • Token volatility and lack of liquidity;
  • Loss of access to Tokens due to wallet misconfiguration or compromised credentials;
  • Ineligibility due to jurisdiction, bot use, fraudulent actions, Sybil attacks, or failure to meet program criteria;
  • Regulatory reclassification or enforcement actions that may affect your use, holding, or ability to trade Tokens;
  • Errors, delays, or vulnerabilities in smart contracts or distribution logic.

To the maximum extent permitted by law, OpenLedger disclaims all liability for any claims, damages, losses, or liabilities arising from or related to:

  • your participation in the Airdrop;
  • your reliance on or receipt of any Tokens; or
  • your use, storage, or transfer of such Tokens following distribution.
  1. Airdrop

These Airdrop Terms govern your participation in OpenLedger’s promotional distribution of $OPEN tokens (the “Airdrop”). The Airdrop is a non-recurring, discretionary, and limited-time program, and its structure, criteria, duration, and eligibility parameters are subject to change at any time at the sole discretion of OpenLedger.

  1. Program Timing

The start date, end date, duration, and phases of the Airdrop will be determined solely by OpenLedger and may be amended, extended, paused, or terminated at any time without prior notice.

  1. Distribution Logic
  • Participation in the Airdrop does not guarantee receipt of any Tokens.
  • The quantity, eligibility criteria, allocation logic, and snapshot methodology may vary among participants and are determined exclusively by OpenLedger using internal algorithms, third-party tools, or manual review.
  • OpenLedger may implement a preliminary verification phase or allow a “registration window” during which eligibility is assessed or wallets are whitelisted. Completion of this phase does not entitle you to an automatic Token claim.

  1. Eligibility
    1. Participant Requirements

Participation in the Airdrop is subject to OpenLedger’s eligibility assessment, conducted at its sole discretion. By agreeing to these Airdrop Terms, you represent and warrant that:

  • You are at least 18 years of age (or the legal age of majority in your jurisdiction);
  • You are legally permitted to receive and hold Tokens under the laws of your country of residence or citizenship;
  • You are not subject to any prior restrictions, sanctions, or legal prohibitions that would disqualify you from participation;
  • Your participation does not violate any applicable laws or regulations.

If you are registering or participating on behalf of a legal entity, you confirm that you have the authority to bind such entity to these Airdrop Terms.

  1. Jurisdictional Restrictions

The Airdrop is not available to individuals or entities located in, incorporated in, or otherwise associated with certain jurisdictions, including (without limitation) the United States, or countries within the European Economic Area such as Austria, Belgium, France, Germany, Italy, and others as may be updated by OpenLedger from time to time.

You must not attempt to bypass these restrictions through technical means, such as the use of VPNs, proxy servers, or other obfuscation tools. Any such attempt may result in disqualification or permanent exclusion from the Airdrop.

  1. Legal and Regulatory Compliance

You further confirm that your participation complies with all applicable legal obligations, including:

  • Anti-money laundering (AML) laws;
  • Counter-terrorist financing (CTF) measures;
  • Economic sanctions and export control regulations, including those administered by the United States, European Union, and United Kingdom.

  1. Payment and Fees
    1. No Consideration or Entitlement

Participation in the Airdrop does not require any form of payment, purchase, or consideration from you, and no value is accepted by OpenLedger in exchange for the Tokens. The Airdrop is intended to be a free promotional distribution, and does not constitute an “issuance of virtual assets” or “virtual asset offering” as defined under the Cayman Islands Virtual Asset (Service Providers) Act, as amended.

By participating, you acknowledge and agree that:

  1. Any Tokens received are provided to you at no cost, aside from applicable blockchain network (gas) fees or taxes owed to third parties;

  2. You have not been promised, guaranteed, or contractually assured of receiving any Tokens;

  3. You have not taken any action, nor made any decision, in reliance on receiving Tokens, and have no expectation of profit or future rights as a result of participation.

    1. Gas Fees

You are solely responsible for paying all blockchain transaction fees (“Gas Fees”) required to claim or receive Tokens. Unless explicitly waived by OpenLedger in writing, such fees are not reimbursable and are payable directly to the relevant blockchain network.

  1. Taxes

You are solely responsible for determining and fulfilling any tax obligations that may arise from your participation in the Airdrop or receipt of Tokens, including income, capital gains, value-added tax (VAT), or similar taxes under your local laws. OpenLedger will not withhold or report taxes on your behalf and does not provide tax advice. You are encouraged to consult with a qualified tax professional.

  1. Indemnification

You agree to indemnify, defend, and hold harmless OpenLedger, its affiliates, and their respective officers, directors, employees, contractors, and agents (collectively, the “OpenLedger Entities”) from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable attorney’s fees and regulatory penalties) arising out of or related to:

  1. Your access to or participation in the Airdrop, including linking your Wallet or claiming, holding, using, or transferring any Tokens;
  2. Your breach or alleged breach of these Airdrop Terms or the General Terms;
  3. Your violation of any applicable law, regulation, or the rights of any third party (including intellectual property, data, or financial rights); or
  4. Any fraud, misconduct, or misuse of the Tokens or Platform by you or anyone acting on your behalf.

OpenLedger reserves the right, at its sole discretion and at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with OpenLedger’s defense of the claim.

Your indemnification obligations under this Section shall survive the termination or expiry of these Airdrop Terms and your participation in the Airdrop.

  1. Warranty Disclaimer
    1. No Warranties

Your participation in the Airdrop is entirely at your own risk. The Airdrop, the Tokens, and all related services or functionalities are provided on an “as is” and “as available” basis, without warranties of any kind.
OpenLedger expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to:

  • warranties of merchantability,
  • fitness for a particular purpose,
  • title,
  • quiet enjoyment, and
  • non-infringement.
    2. No Promises or Performance Guarantees

OpenLedger makes no representations or guarantees that:

  • the Airdrop or Tokens will meet your expectations or requirements;
  • the process will be uninterrupted, timely, secure, or error-free;
  • any claimed Tokens will function as intended or retain any value;
  • any data, outputs, or results obtained from participating will be accurate, reliable, or complete.
    3. No Control Over Underlying Technologies

Tokens are digital assets recorded on decentralized blockchain networks. You acknowledge that:

  • OpenLedger does not control or operate the underlying blockchain protocols or smart contracts involved in Token distribution, and
  • makes no promises regarding their functionality, security, uptime, accuracy, or continued availability.

OpenLedger is not liable for any issues or losses arising from:

  • smart contract bugs,
  • protocol failures or governance changes,
  • wallet incompatibility or configuration errors, or
  • network congestion or downtime.
    4. Evolving Legal Landscape

You acknowledge that the laws and regulations governing blockchain systems, token distributions, and digital assets are rapidly evolving. OpenLedger may, at any time and without liability, modify, suspend, or cancel the Airdrop or restrict access to Tokens in response to legal, regulatory, or compliance developments in any jurisdiction.

  1. Legal Scope of Disclaimers

All disclaimers, exclusions, and limitations in this Section shall apply to the fullest extent permitted by applicable law. Nothing in these Terms shall exclude any warranty or condition that cannot legally be excluded under applicable law.

  1. No Professional Advice and No Fiduciary Duties
    1. Market Risk and Token Volatility

You acknowledge and agree that Tokens and other digital assets are highly volatile, inherently risky, and may have no intrinsic or stable value. OpenLedger makes no representation or guarantee that any Token:

  • will maintain a specific price or level of utility;
  • will be transferable, exchangeable, or liquid;
  • can be resold, traded, or redeemed for any value.
    You further understand that OpenLedger has no obligation to support, maintain, or develop the Token or any secondary market for it.
    2. No Financial, Legal, or Tax Advice

All materials, communications, or information provided by OpenLedger—whether on its website, via the Airdrop, or through any affiliated channels—are for informational purposes only.
Nothing in the Airdrop or on the Platform constitutes financial, legal, investment, accounting, or tax advice, nor should it be construed as a recommendation or endorsement of any kind.
You are solely responsible for seeking independent advice from qualified professionals before making any decisions related to the Tokens or your participation in the Airdrop.

  1. No Fiduciary Relationship

These Airdrop Terms—and your participation in the Airdrop—do not create any fiduciary, advisory, or agency relationship between you and OpenLedger or any of its affiliates.
To the fullest extent permitted by law, you agree that OpenLedger owes you no fiduciary duty or heightened standard of care, whether arising under equity, law, or custom, beyond the specific obligations set out in these Terms.


  1. Miscellaneous
  • These Airdrop Terms, together with the General Terms and any other documents or policies expressly incorporated by reference, constitute the entire agreement between you and OpenLedger with respect to your participation in the Airdrop, and supersede all prior or contemporaneous communications, whether oral or written.
  • You may not assign or transfer any rights or obligations under these Terms without the prior written consent of OpenLedger. OpenLedger may assign or delegate its rights and obligations under these Terms at any time, without notice or your consent.
  • Failure by OpenLedger to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, and any waiver must be expressly made in writing.
  • Headings are for reference only and do not affect the construction or interpretation of these Terms.
  • The term “including” shall be interpreted to mean “including without limitation.”
  • If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be construed and enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
